Showa Denko Group Starts to Consider Transformation into Holding Company Structure

TOKYO, Mar 9, 2022 - (JCN Newswire) - Showa Denko K.K. (SDK) (TOKYO: 4004) announces that it was resolved at the Board of Directors meeting held today that, regarding a plan for transformation from current company structure to holding company structure, the Company will start to consider the plan and prepare for execution of the plan. Execution of the plan is subject to adoption of relevant resolutions by shareholders at an extraordinary general meeting of shareholders, which is planned to be held in late September 2022, and is also subject to approval and authorization by the appropriate authorities. We will announce details of the plan as soon as they are decided.

1. Background and purpose of the consideration

As we stated in "Our Policy toward Realization of 'Co-Creative Chemical Company'," which was announced on February 14, 2022, the Showa Denko Group aims to change the Group into "Company that can compete on the world stage," "Company that contributes to sustainable global society," and "Company that develops talent that represents Japan's manufacturing industry," thereby making the Group "Global Top-Level Functional Chemical Manufacturer from Japan," which is the ideal state of the Co-Creative Chemical Company.

Into the Purpose of the Showa Denko Group, which is "Change society through the power of chemistry," we put our will to have global top-level competence as a chemical manufacturer, to think beyond the conventional boundaries of our individual business activities, and to co-create better society with stakeholders and communities who share a high aim and ideal with us. This is the essence of Co-Creative Chemical Company that we aim to be. Through realization of the Purpose, the Showa Denko Group will continue reforming itself, aiming to become the Global Top-Level Functional Chemical Manufacturer.

In the process to realize the ideal state, the Showa Denko Group will commit itself to realize scale and profitability of the Company which are prerequisites to become a company that can compete on the world stage, execute business portfolio management focusing on strategic allocation of management resources, while maintaining integrity, promoting innovations that bear competitive advantage, and executing personnel strategy focusing on human resource development based on Purpose and Four Values, which are the Showa Denko Group's new Corporate Philosophy.

To become Global Top-Level Functional Chemical Manufacturer, which is our ideal state, and to maximize our corporate value, we will accelerate business portfolio management which enable us to solve global social issues and create sustainable corporate value. Aiming to establish organizational structure optimum for realization of the ideal state, we will consider specific procedures for transformation into a holding company structure.

If the Group transforms itself into a holding company structure, the holding company will specialize in formulating and executing group strategy and functioning as a company listed on the stock exchange. The holding company will cope with management issues quickly and flexibly, and realize appropriate allocation of management resources group-wide from bird's-eye viewpoint, including formation of business alliance and M&A. The newly integrated company (a company involved in manufacturing) will focus on strengthening competitiveness of each business of the Company in order to realize synergy of integration of Showa Denko and Showa Denko Materials as soon as possible, and operate businesses in a quick and flexible manner corresponding to the surrounding environment, thereby enhancing corporate value of the entire Group.

2. Planned process for transformation into holding company structure

The planned process for transformation from current company structure to holding company structure is as follows. We will set the current Showa Denko K.K. as a company to be split, execute the company split, make Showa Denko Materials Co., Ltd. (SDMC), which is a wholly owned subsidiary of HC Holdings K.K. (HCHD), in which SDK holds 100% of voting rights, succeed all businesses currently operated by SDK, and merge HCHD into SDMC. Then we will set SDMC as a company to be split, execute the company split, and make SDK succeed a part of SDMC's assets and liabilities. We will announce the detail of this process as soon as it is decided in the future.

3. Plan for the future

- End of June 2022: Record Date to fix shareholders who can execute voting rights at the extraordinary general meeting of shareholders concerning transformation into holding company structure
- August 2022: Board of Directors' meeting concerning transformation into holding company structure
- September 2022: Extraordinary general meeting of shareholders concerning transformation into holding company structure
- January 2023: Transformation into a holding company structure

Solana Review: High-Speed Layer 1 Blockchain

A centralized database on a standard gigabit network can execute 710,000 transactions per second when transactions are no more than 176 bytes size on average. Without compromising decentralization, it is challenging for a blockchain to have such a high-speed transaction capacity. Solana has accomplished an impressive transaction per second capacity without compromising decentralization much. It is an open-source project that is a new permissionless and high-performance blockchain. The Solana Foundation manages the open-source project, situated in Geneva, Switzerland. It is the high-speed layer one blockchain, with a max capacity of 65,000 transactions per second. It has a transaction finality of around 13 seconds. How does Solana work? Proof of Stake (PoS) and Proof of History (PoH) are used by Solana Network to process its transactions efficiently with high speed. PoH is a simple method for validating all the transactions without communicating with other nodes. PoS is also used for validating transactions, for this, you have to stake your token. PoH is based on a simple method. It assigns a leader position randomly to a particular node after every new block creation. Any node which is the leader node must generate the whole proof of history statement. After being given the responsibility, the leader node coordinates with other nodes to construct a proof of history statement. The leader node also pushes the currently executed transactions, and then it publishes the transactions with verifiers in their final nodes. Verifiers repeat the process again to verify transactions. Verifiers also make copies of transactions and make them public. There is only one leader node in each Solana network at a time. The verifier node performs intelligently and has the same capabilities as a leader node; however, the verifier node can subsequently be elected as a leader through proof of stake elections. Compared to Bitcoin and Ethereum blockchain networks, a combination of PoH and PoS works well for Solana, allowing it to process data at a cheap cost. Solana’s high-speed blockchain is built using eight major technologies mentioned below: Proof of History: a clock before consensus. Tower Byzantine Fault Tolerance: a PoH-optimized version of PBFT. Turbine: a block propagation protocol. Gulfstream: a Mempool-less transaction forwarding protocol. Sealevel: the world’s first parallel smart contracts run-time. Pipelining: a transaction processing unit for validation. Cloudbreak: a horizontally-scaled accounts database. Archivers: Provide distributed ledger storage. Key characteristics of Solana:  Proof of History: For authorizing and restricting entries on its ledger, Bitcoin and Ethereum’s blockchain networks use a Proof of Work technique (proof of work means that every node on the blockchain network must reach consensus before every new entry). Proof of Work (PoW) is a complicated method that slows down the speed of transactions.  To address the drawbacks of the PoW system, Proof of History (PoH) was developed. Proof of history simply means that a new block can be added to the blockchain network without the need for mutual consent of other nodes. Every node in Solana has its clock and makes choices without consulting the others. Proof of History improves transaction speed while simultaneously ensuring an efficient blockchain network and recording all transactions.     Tower Byzantine Fault Tolerance: The BFT system functions as a safety net for the whole Solana ecosystem. It ensures that a single node failure does not disrupt the entire operation of the system. This approach enables the nodes to work even in case of multiple failures. Gulfstream: Gulfstream is a system that eliminates memepool requirements. Memepool can be viewed as a holding area where all unprocessed transactions await their turn. Solana’s network can handle a memory pool with a capacity of 1,00,00 transactions.   Validators are present in every blockchain ecosystem (validators select transactions and add them to the blockchain network). Solana’s network sends the transactions to its validators even before a new transaction is added. Validators empty the memepool region simultaneously, ensuring no ‘unconfirmed transactions’ in the Solana ecosystem. Sealevel: Solana allows for the simultaneous execution of numerous smart contracts. Solana becomes a time-saving and cost-effective blockchain network as a result of this. Sea level is the technology that allows Solana to run many smart contracts simultaneously. Cloudbreak: Solana uses a horizontal scaling method, which allows the blockchain to expand its scalability. Cloudbreak manages a database that can read and write transaction input data. It is also in charge of bridging the gap between hardware and software.  Pipeline: Most tasks in Solana’s ecosystem are separated for processing transactions quickly. Solana distributes the input data throughout the various hardware components of the network. It is a procedure that quickly checks the information blocks using various devices. Turbine: Solana splits various blockchain nodes into smaller packets. It helps in increasing the transaction speed of the network. Mitsubishi Shipbuilding Holds Christening and Launch Ceremony in Shimonoseki for Japan’s First LNG-fueled Ferry

TOKYO, Mar 3, 2022 - (JCN Newswire) - Mitsubishi Shipbuilding Co., Ltd., a Mitsubishi Heavy Industries (MHI) Group company based in Yokohama, today held a christening and launch ceremony for the SUNFLOWER KURENAI, the first of two large LNG-fueled ferries being built for Mitsui O.S.K. Lines, Ltd. (MOL). The ceremony took place at the Enoura Plant at MHI's Shimonoseki Shipyard & Machinery Works in Yamaguchi Prefecture. The handover is scheduled for December 2022, following completion of interior work and sea trials. The new vessel will go into service from January 2023 on a regular route between Osaka and Beppu operated by Oita-based Ferry Sunflower Limited, replacing the SUNFLOWER IVORY and SUNFLOWER COBALT ferries in service since 1997.

Christening and Launch Ceremony of "SUNFLOWER KURENAI"

The SUNFLOWER KURENAI is 199.9m long and 28.0m wide, with gross tonnage of approximately 17,300. The vessel has capacity to accommodate 716 passengers, an estimated 137 13-meter trucks, and roughly 100 passenger cars. The main engine is a high-performance dual-fuel engine - the first of its kind featured on a domestic ferry - that can run on both liquefied natural gas (LNG) and A-type heavy oil. It offers outstanding environmental performance, achieving a 20% reduction in CO2 emissions and close to zero emissions of sulfur oxides (SOx), thereby mitigating environmental impact.

Compared to earlier ferries, the SUNFLOWER KURENAI also features significantly more loading capacity for trucks, a more spacious lounge for truck drivers, and substantially greater space per passenger. Expansive public areas include enlarged bathing facilities, a more spacious restaurant, and an atrium extending through three stories. In these and other ways, the new ferry responds to today's modal shift in the transport industry(Note1) while simultaneously achieving advances in the casual cruise business.
