Although Toner and McCauley did not mention the newly formed Safety and Security Committee at the company, their letter reflected worries that OpenAI might not be able to effectively regulate itself or its CEO.

“Drawing from our experience, we are convinced that self-regulation is unsustainable under the influence of profit motives,” they stated. “Furthermore, we are concerned that recent events, such as his return to the company, his reappointment to the board, and the exit of key figures dedicated to safety, do not bode well for OpenAI’s self-governance initiative.”

The previous board members claimed that Altman's "consistent behavior over time" prevented the company board from effectively managing "important decisions and internal safety measures." In contrast, Altman's present coworkers highlighted the findings of an independent investigation into the dispute that was ordered by the company.

"The review concluded that there was no AI safety issue that warranted replacing Mr. Altman," they wrote, "in reality, WilmerHale determined that the previous board's decision was not driven by worries about product safety or security, the speed of development, OpenAI's financial status, or its communications with investors, customers, or business partners."

What might be even more concerning is that Toner and McCauley have also alleged that Altman has created a toxic work environment.

Several top executives confidentially expressed serious worries to the board, claiming that Mr. Altman fostered "a harmful environment of dishonesty" and exhibited conduct that "could be described as psychological mistreatment."

However, Taylor and Summers countered their assertions, stating that Altman is highly respected by his staff.

Over the course of six months with almost daily interactions with the company, we have observed Mr. Altman to be very open about all pertinent matters and always cooperative with his team.

Taylor and Summers also mentioned that Altman was dedicated to collaborating with the government to reduce the potential dangers associated with AI development.

The recent exchange is happening during a chaotic period for OpenAI, which began with a brief removal of its leader. In the past month, the previous head of alignment departed to join competitor Antropic, after making similar allegations against Altman. OpenAI had to retract a voice model that closely resembled actress Scarlett Johansson's voice because they didn't obtain her permission. Additionally, the company disbanded its superalignment team, and it came to light that restrictive NDAs had been used to stop former staff from speaking out against the company.

OpenAI has established contracts with the Department of Defense to implement its GPT technology for defense purposes. In a related move, Microsoft, a significant investor in OpenAI, is said to have made comparable agreements that include the use of ChatGPT.

The assertions made by Toner and McCauley appear to align with remarks from ex-OpenAI employees, including Jan Leike. Leike mentioned that in recent years, OpenAI's focus on safety culture and procedures has been overshadowed by the pursuit of flashy products, and that his alignment team faced significant challenges.

In their article, Taylor and Summers somewhat tackled these issues by mentioning the establishment of a new safety committee, which is tasked with advising the entire board on important security and safety choices for all OpenAI initiatives.

Toner has recently intensified her accusations about Altman being secretive.

“To illustrate the kind of situation I’m referring to, when ChatGPT was released in November 2022, the board wasn’t notified beforehand,” she disclosed during The TED AI Show podcast earlier this week. “We found out about ChatGPT through Twitter.”

She mentioned that the OpenAI board was unaware of Altman's ownership of the OpenAI Startup Fund, contradicting his statements about not having a financial interest in OpenAI. The fund, which invested millions from partners such as Microsoft into various companies, operated without the board's awareness. Altman ceased to own the fund as of April.
